Intra-corporate reorganization
Following a Public Hearing held in Halifax beginning 4 April 1995, the Commission approves the applications detailed below, which request authority for The John Labatt Group of companies (Labatt Group), to restructure its organization. The proposal as approved produces a more simplified ownership structure for the Labatt Group's broadcasting businesses and represents an intra-corporate reorganization that does not affect the ultimate direct effective control of any of the undertakings.
A. Application 941397200 by Labatt Communications Inc. (LCI), on behalf of TSN Inc. (a corporation to be incorporated), for authority to acquire the assets of The Sports Network (TSN), from the partners of TSN (being Labatt Brewing Company Limited (LBCL) and LCI), and for a broadcasting licence to continue the operation of the national English-language sports specialty programming undertaking. The Commission will issue a licence to TSN Inc., expiring 31 August 2001, under the same terms and conditions as the current licence, upon surrender of the current licence issued to the partners of TSN.
B. Application 941936700 by LCI for authority to acquire the assets from the partners of TSN Enterprises (being LBCL and LCI), a partner in Viewer's Choice Canada (VCC), and for a broadcasting licence to continue the operation of the English-language pay television undertaking engaged in the distribution of a pay-per-view service. The Commission will issue a licence to the new partners of VCC (LCI, Rogers Pay-Per-View Inc. (Rogers) and First Choice Canadian Communications Corporation (First Choice)), expiring 31 August 2001, under the same terms and conditions as the current licence, upon surrender of the current licence issued to the former partners of VCC (TSN Enterprises, Rogers and First Choice).
As a result of approval of this application, the minority interest in the licensee that was previously held by TSN Enterprises will reside with LCI.
C. Application 941398000 by LCI, on behalf of 3064590 Canada Inc. (a corporation to be incorporated), for authority to acquire the assets from the partners of Le Réseau des Sports (RDS), (being LBCL and TSN Enterprises), and for a broadcasting licence to continue the operation of the national French-language sports specialty programming undertaking. The Commission will issue a licence to 3064590 Canada Inc., expiring 31 August 2001, under the same terms and conditions as the current licence, upon surrender of the current licence issued to the partners of RDS.
As a result of the applications approved above, direct effective control of each of the licensee companies will reside with LCI, which is a wholly-owned subsidiary of LBCL.
