Transfer of control
The Commission announces that it has approved, by Letter of Authority A96-0128 dated 28 October 1996, applications by 3247236 Canada Inc., licensee of the specialty programming undertaking known as Country Music Television (CMT), requesting authority to transfer a total of 90% of the issued and outstanding voting securities of the licensee's holding company, 3247244 Canada Inc., to Shaw Communications Inc. (Shaw) or a subsidiary of Shaw. The Commission notes that as a result, Shaw will assume effective control of 3247244 Canada Inc. and, indirectly, of the licensee.
In effect, two separate transactions have been approved: the first relates to the transfer of a 39% voting interest in the holding company from Rogers Broadcasting Limited to Shaw; the second transaction involves the transfer of a 51% voting interest in the same holding company, from 566684 Alberta Ltd., a subsidiary of Rawlco Communications Ltd., to Shaw.
The Commission noted Shaw's commitment to expend a total of $1.9 million over four years in Canadian talent development initiatives, in addition to CMT's existing initiatives.
Given Shaw's comments on the carriage arrangements of CMT, its commitment regarding the carriage of other specialty services, and taking into account the Commission's newly adopted access rules, the Commission is satisfied that any concerns regarding access have been adequately addressed.
