TQS inc., on behalf of the partners of Canal Indigo, a general partnership

Transfer of the 20% interest in Canal Indigo

1. Following a Public Hearing in the National Capital Region beginning on 16 February 1998, the Commission appproves the application by TQS inc., on behalf of the partners of Canal Indigo, a general partnership, for authority to acquire the 20% interest in Canal Indigo, a pay television undertaking providing a pay-per-view service distributed by direct-to-home satellite as well as by other means of distribution. This 20% interest is presently owned by 2151065 Canada Inc., formerly known as Réseau de Télévision Quatre Saisons inc. (RTQS).

2. The Commission notes that this application was made following Decision CRTC 97-483 dated 22 August 1997, wherein the Commission approved the transfer of TQS inc. to a consortium controlled by Québecor inc. In that decision, the Commission also approved, on an interim basis, the alternative application by Vidéotron ltée to transfer the effective control of RTQS to Vidéotron ltée, subject to an understanding that an application by a third party for the sale of RTQS or the interest in Canal Indigo held by RTQS be filed within three months of the date of the decision.

3. Upon surrender of the current licence, the Commission will issue a new licence to 3379868 Canada Inc., Cogeco Radio-Television inc., TQS inc. and Télé-Métropole inc., partners in Canal Indigo, a general partnership, expiring 31 August 2002. The licence will be subject to the same conditions as those in effect under the current licence, as well as to any other condition specified in the licence to be issued.

This decision is to be appended to the licence.
