Amendment to partnership structure

1. Following a Public Hearing in Québec beginning on 27 January 1998, the Commission approves the application by the partners of Canal Indigo, a General Partnership (Canal Indigo), licensees of the national French-language video-on-demand (VOD) programming undertaking, to amend the partnership structure allowing 3379868 Canada Inc. to acquire the 40% partnership interest currently held by the partners of Viewer's Choice and to continue the operation of the French-language VOD undertaking under the same terms and conditions as the current licence.

2. Following this corporate change, Canal Indigo will have the following ownership: 3379868 Canada Inc. 40%, Cogeco Radio-Television inc. 20%, Réseau de Télévision Quatre Saisons inc. 20% and Télé-Métropole inc. 20%.

3. Upon surrender of the current licence, the Commission will issue a new licence to 3379868 Canada Inc., Cogeco Radio-Télévision inc., Réseau de Télévision Quatre Saisons inc. and Télé-Métropole inc., partners in Canal Indigo, a general partnership, expiring 31 August 2003, the current expiry date. The licence will be subject to the same tems and conditions as those in effect under the current licence, as well as to any other condition specified in the licence to be issued.

This decision is to be appended to the licence.
