Acquisition of assets

1. Following a Public Hearing in Québec beginning on 27 January 1998, the Commission approves the application by 3379868 Canada Inc. for authority to acquire the assets of the national, digital, English-language video-on-demand (VOD) programming undertaking owned by the partners of Viewer's Choice Canada, a General Partnership of Netstar Enterprises Inc., Rogers Pay-Per-View Inc. and TMN Networks Inc. Each shareholder's interest in the new corporation will be identical to that held in the general partnership. NetStar Enterprises Inc. and Rogers Pay-Per-View Inc. will each hold 24.95% of the shares, while TMN Networks Inc. will hold 50.1%.

2. Upon surrender of the current licence issued to the general partners of Viewer's Choice Canada, the Commission will issue a licence to 3379868 Canada Inc., expiring 31 August 2003, the current licence expiry date. The licence will be subject to the same terms and conditions as those in effect under the current licence, as well as to any other condition specified in the licence to be issued.

This decision is to be appended to the licence.
