Intra-corporate reorganization
1. The Commission approves the application by Okanagan Skeena Group Limited (OKS) to effect an intra-corporate reorganization. OKS will transfer the assets of its cable distribution undertakings in British Columbia to 3537340 Canada Ltd., one of its wholly-owned subsidiaries.
2. The Commission will issue licences expiring 31 August of each year indicated in the appendix, upon surrender of the current licences. The operation of the undertakings will be regulated pursuant to the Broadcasting Distribution Regulations (the regulations) and will be subject to the conditions specified in the appendix to this decision and in the licences to be issued.
3. The Commission notes that this transaction represents an intra-corporate reorganization that does not alter the control or management of the licensee.

Conditions of licence and authorizations for the cable distribution undertakings serving Hope; Fernie; Kimberley; Kitimat; Prince Rupert; Terrace; Sparwood; Elkford; Stewart; Smithers and Telkwa; Houston; Hazelton, British Columbia
All locations
The licensee may receive any authorized signals over the air, or from any licensed or exempted Canadian broadcasting distribution undertaking authorized to provide signals to other broadcasting distribution undertakings.
It is a condition of each licence that, for community programming and any other programming of a service that it originates, the licensee adhere to the guidelines on the depiction of violence in television programming set out in the Canadian Association of Broadcasters' Voluntary Code Regarding Violence in Television Programming, as amended from time to time and approved by the Commission.
Hope
The licensee is authorized to distribute, at its option, KOMO-TV (ABC), KING-TV (NBC), KIRO-TV (CBS) and KCTS-TV (PBS) Seattle, Washington, as part of the basic service. The Commission notes that the licensee will receive these signals via microwave.
Fernie
The licensee is relieved, by condition of licence, from the requirement of section 17 of the regulations that it distribute a CBC French-language service on the basic band, so long as it is distributed as part of the basic service. The Commission notes that the licensee proposes to distribute this service on an unrestricted channel of the basic service.
The licensee is authorized, by condition of licence to distribute, at its option, KXLY-TV (ABC), KREM-TV (CBS) and KHQ-TV (NBC) Spokane, Washington, as part of the basic service. The Commission notes that the licensee will receive these signals via satellite.
The licensee is also authorized to distribute, at its option, the audio programming services of KMBI-FM, KXLY-FM, KISC-FM, KDRK-FM, KEZE-FM, KZZU-FM and KPBX-FM Spokane, as part of the basic service. The Commission notes that the licensee will receive these signals via satellite.
Kimberley
The licensee is relieved, by condition of licence, from the requirement of section 17 of the regulations that it distribute a CBC French-language service on the basic band, so long as it is distributed as part of the basic service. The Commission notes that the licensee proposes to distribute this service on an unrestricted channel of the basic service.
The licensee is authorized, by condition of licence, to distribute, at its option, KREM-TV (CBS), KHQ-TV (NBC) and KSPS-TV (PBS) Spokane, as part of the basic service. The Commission notes that the licensee will receive these signals via satellite.
The licensee is also authorized to distribute, at its option, the audio programming services of KMBI-FM, KXLY-FM, KISC-FM, KDRK-FM, KEZE-FM, KZZU-FM and KPBX-FM Spokane, as part of the basic service. The Commission notes that the licensee will receive these signals via satellite.
Kitimat; Prince Rupert; Terrace
The licensee is authorized to distribute, at its option, CIFG-TV (CTV) Prince George as part of the basic service. The Commission notes that the licensee will receive this signal via microwave.
The licensee is authorized, by condition of licence, to distribute, at its option, WXYZ-TV (ABC) and WTOL-TV (CBS) Toledo, Ohio, as well as KING-TV (NBC) and KCTS-TV (PBS) Seattle, as part of the basic service. The Commission notes that the licensee will receive these signals via satellite.
The licensee is authorized to distribute, at its option, CFTK-TV (CBC) Terrace as part of the basic service of the undertaking serving Prince Rupert. The Commission notes that this signal will be received via microwave.
The licensee is relieved, by condition of licence, from the requirement of section 17 of the regulations to distribute local station CFTK-TV-1 (CBC) Prince Rupert, as part of the basic service of the Prince Rupert undertaking, so long as it distributes the signal of CFTK-TV (CBC) Terrace.
The licensee is authorized to originate a video games service as a special programming service, offered on a discretionary basis, subject to the conditions of licence listed in Decision CRTC 95-591 dated 24 August 1995.
Sparwood; Elkford
The licensee is authorized, by condition of licence, to distribute, at its option, KXLY-TV (ABC), KREM-TV (CBS) and KHQ-TV (NBC) Spokane, as part of the basic service. The Commission notes that the licensee will receive these signals via satellite.
The licensee is also authorized to distribute, at its option, the audio programming services of KMBI-FM, KXLY-FM, KISC-FM, KDRK-FM, KEZE-FM, KZZU-FM and KPBX-FM Spokane, as part of the basic service. The Commission notes that the licensee will receive these signals via satellite.
Smithers and Telkwa
The licensee is relieved, by condition of licence, from the requirement of section 32(1) of the regulations to distribute local station CFHO-TV-1 Smithers which rebroadcasts the programming of CIFG-TV Prince George.
The licensee is authorized to distribute the signal of CIFG-TV Prince George, only so long as it continues to make available the microwave feed of that signal to the local retransmitter.
Houston
The licensee is relieved, by condition of licence, from the requirement of section 32(1) of the regulations to distribute local stations CBCH-TV-1 and CFHO-TV Houston which rebroadcast the programming of CFTK-TV Terrace and CIFG-TV Prince George, respectively.
The licensee is authorized to distribute the signals of CFTK-TV Terrace and CIFG-TV Prince George only so long as it continues to make available the microwave feed of these signals to the two local retransmitters.
