Transfer of shares resulting in changes of control

1.  The Commission announces that it has approved, by Letters of Authority A99-0107 and A99-0108 dated 16 August 1999, the transfer of control of Rawlco (Alberta) Ltd., licensee of radio programming undertakings CFFR and CKIS-FM Calgary and its transmitters CKIS-FM-1 Banff, CKIS-FM-2 Lake Louise and CKIS-FM-3 Invermere, and of Rawlco (Toronto) Ltd., licensee of radio programming undertaking CISS-FM Toronto, through the transfer of all issued and outstanding shares held by each licensee to Rogers Broadcasting Limited (RBL).

2.  The Commission notes RBL's commitment to contribute 6% of the purchase price with regards to tangible benefits to be allocated over seven years, that is $534,100 for the Alberta stations and $4,806,900 for the Toronto station, to be allocated as follows:

·  $267,050 and $2,403,450 respectively to the Canadian Music Marketing and Promotion Fund;

·  $197, 050 and $1,773,450 respectively to FACTOR; and

·  $70,000 and $630,000 respectively to the Canadian Music Educational Program.
