Capital restructuring - An ownership change in 3890457 Canada Inc., a national digital specialty service to be known as Wisdom: Canada's Body, Mind & Spirit Channel, whereby Alliance Atlantis Broadcasting Inc. and Renewal Partners Company will become shareholders.

The Commission approves the above-noted application for authority to effect an ownership change in 3890457 Canada Inc., a national digital specialty service to be known as Wisdom: Canada's Body, Mind & Spirit Channel (Wisdom). The original voting shareholders of Wisdom were to be Vision TV Digital Inc. 65.1%, Radio Nord Communications Inc. 15%, and Wisdom Media Group, Inc. (non-Canadian) with 19.9%. The ownership change will result in Vision TV Digital Inc. losing its legal control status, with a 43.81% voting interest, and Alliance Atlantis Broadcasting Inc. and Renewal Partners becoming shareholders with 29.9% and 5.26% voting interest respectively. Radio Nord Communications Inc. will hold a 21.03% voting interest.

The Commission notes that Vision TV Digital Inc. will continue to exercise effective control of Wisdom through a voting trust arrangement which was entered into between Vision TV Digital Inc., Radio Nord Communications Inc. and Renewal Partners Company.

The Commission will modify its ownership records to reflect the authorized ownership of 3890457 Canada Inc., a national digital specialty service to be known as Wisdom: Canada's Body, Mind & Spirit Channel as shown in the attached appendix.

All letters of approval issued by the Commission are made available for public examination at the Commission's central office. The Commission also requires you to append this letter to your licence.
