Decision CRTC 2001-554

Ottawa, 31 August 2001

Ms. Charlotte Bell
Vice President Regulatory Affairs
Global Television Network Inc.
81 Barber Green Road
Toronto, ON
M3C 2A2

Dear Ms. Bell:

Re: Application No. 200108482 - Approved
Change of ownership:
A change modifying the proposed structure of "Lonestar", a new category 2 specialty television service, from a corporation to be incorporated to "3722384 General Partnership", involving the partnersGlobal Television Network Inc. and 3722384 Canada Limited

The Commission approves the above-noted application for authority to effect a modification from a corporation to be incorporated to "3722384 General Partnership", whereby Global Television Network Inc. (GTNI) and 3722384 Canada Limited will become the partners and licensees of the new category 2 specialty television service to be known as "Lonestar" (formerly proposed to be called "Adventure").

The Commission notes that in its Decision 2000-571 (dated December 14, 2000), it awarded a category 2 digital specialty service to Global Television Network Inc. (GTNI), on behalf of a corporation to be incorporated. The ownership structure was subsequently modified to a general partnership (3722384 General Partnership) consisting of GTNI (with 99.99% of the interests) and a subsidiary of GTNI, 3722384 Canada Limited (with 0.01% of the interests). Effective control will remain in the hands of GTNI.

The Commission will modify its ownership records to reflect the partnership interests held by GTNI and 3722384 Canada Limited in "Lonestar", as shown in the attached appendix.

All letters of approval issued by the Commission are made available for public examination at the Commission's central office. The Commission also requires you to append this letter to your licence.

Yours sincerely,

Ursula Menke
Secretary General
