Decision CRTC 2001-556

Ottawa, 30 August 2001

Mrs. Kathleen McNair
Corus Entertainment Inc.
181 Bay St.
Suite 1630
Toronto, Ontario

Dear Sir:

Re: Application No. 2001-0834-1 - Approved
Change of ownership -
A change modifying the proposed structure of "Edge TV" a new category 2 specialty service from a corporation to be incorporated to the service becoming a division of YTV Canada Inc.

The Commission approves the above-noted application for authority to effect a modification in the proposal of a corporation to be incorporated to become the licensee of the new category 2 specialty television service to be known as "Edge TV" to the service instead becoming a division of YTV Canada Inc.

The Commission notes that in its Decision 2000-526 (dated December 14, 2000), it awarded a category 2 digital specialty service to Corus Entertainment Inc. on behalf of a corporation to be incorporated to be known as "Edge TV". The ownership structure of the corporation that was to be incorporated was to have Corus Entertainment Inc. holding all the issued and outstanding shares and with this ownership change "Edge TV" will become a division of YTV Canada Inc. As a result of this change the Commission will now issue the "Edge TV" licence to YTV Canada Inc.

All letters of approval issued by the Commission are made available for public examination at the Commission's central office. The Commission also requires you to append this letter to your licence.

Yours sincerely,

Ursula Menke
Secretary General
