Re: Application No. 2001-0863-0- Approved
Transfer of control and shares
- Regional Cablesystems Inc., on behalf of Skyway Cablevision Ltd., (Skyway) requests authority to acquire all of the issued and outstanding shares of Skyway Cablevision Ltd., licensee of cable distribution undertaking serving Hermitage, Newfoundland.

The Commission approves the above-noted application for authority to effect a change in the effective control of Skyway. The change in effective control will be effected through the transfer of all the issued and outstanding shares of Skyway being transferred to Regional Cablesystems Inc.

The Commission notes that Regional Cablesystems Inc., a widely held Canadian company, will now exercise control over Skyway Cablevision Ltd. Furthermore the Commission understands, that following the transaction, Skyway will amalgamate with Regional Cablesystems Inc.

The Commission expects the amalgamation documents to be forwarded once they become available along with an executed copy of the share purchase agreement.

The Commission will modify its ownership records to reflect the authorized ownership of Skyway as shown in the attached appendix.

All letters of approval issued by the Commission are made available for public examination at the Commission's central office. The Commission also requires you to append this letter to your licence.
