Acquisition of assets

1.

The Commission approves the applications for authority to acquire the assets of the multipoint distribution system (MDS) and the cable distribution undertaking serving Kakabeka Falls from Fiber-Tel Enterprises Inc., and for broadcasting licences to continue the operation of these undertakings.

The Commission will issue a Class 3 licence for the cable undertaking expiring 31 August 2004 to 1401345 Ontario Limited upon surrender of the current licence. The Commission will further issue a licence for the MDS undertaking expiring 31 August 2002 upon surrender of the current licence. The operation of these undertakings will be regulated pursuant to the Broadcasting Distribution Regulations. The licences will be subject to the conditions specified in this decision and to any other condition that may be specified in the licences to be issued.

The Commission notes, however, that the validity of the sale/purchase agreement between the parties to these transactions is currently subject to a civil court proceeding, and the outcome of this proceeding could affect the ability of the purchaser to complete the transaction.

The total purchase price relating to these transactions is $200. The signals that the licensee is authorized to distribute may be received by direct reception, or from any Canadian broadcasting distribution undertaking (licensed or exempted) which is authorized to provide signals to other distributors.

It is a condition of licence that, for community programming and any other programming of a service that it originates, the licensee adhere to the guidelines on the depiction of violence in television programming set out in the Canadian Association of Broadcasters' Voluntary code regarding violence in television programming, as amended from time to time and approved by the Commission.

The MDS system

6.

The undertaking will transmit broadcasting services in encrypted mode to subscribers. The system's transmitters will operate with an effective isotropic radiated power of 25 watts as approved by Industry Canada.

7.

The licensee is authorized to distribute, in encrypted mode, the following programming services by means of an MDS system:

8.

Further, the licensee is authorized by condition of licence to distribute, on the basic service, the following additional programming services received via satellite:

Other matters

9.

The Commission encourages the licensee to consider employment equity issues in its hiring practices and in all other aspects of its management of human resources (PN 1992-59).
