- Corporate reorganization modifying the effective control of certain subsidiaries of CF Câble TV inc. in order to streamline their structure, without modifying ultimate control of those companies.

The Commission approves the aforementioned applications filed by you on behalf of CF Câble TV inc., for authorization of a multi-stage corporate reorganization (described below) within the subsidiary companies of CF Câble TV inc. that own broadcast (cable) distribution undertakings.

The purpose of the reorganization is to streamline the ownership structure of those subsidiaries without modifying ultimate control of or the equity interest in those companies. The Commission notes that following the transaction, Quebecor Média inc. will still have ultimate control of all the companies affected by the reorganization.

The Commission understands the corporate reorganization to be as follows:

Creation of a new company, CF Nouco, a wholly-owned subsidiary of CF Câble TV inc. [CF Câble]

Transfer of effective control of Vidéotron (Laurentien) ltée [Laurentien] and TDM Newco Inc. [TDM] to CF Nouco. [2001-1230-1]

Transfer of effective control of Laurentien to CF Câble (parent company of CF Nouco), following the liquidation of CF Nouco within CF Câble. [2001-1275-6]

Merger of TDM andLaurentien under the new name "Vidéotron (Régional) ltée," a company to be created via merger.

Merger of Vidéotron (RDL) ltée [RDL], Vidéotron (Richelieu) ltée [Richelieu] and Vidéotron (Granby) inc. [Granby] under the new name "Nouco RDL/Richelieu/Granby", a company to be created via merger.

The Commission notes that, following the merger involving Vidéotron (RDL) ltée, 75% of the voting shares of Télé-Câble Charlevoix (1977) inc. will be transferred from RDL to Nouco RDL/Richelieu/Granby.

The aforementioned mergers, although they do not require prior approval, shall not take effect, and the licences of RDL, Richelieu and Granby shall not be amended, until the Commission has received the related merger documents.

Transfer of effective control of Nouco RDL/Richelieu/Granby from CF Câble to Vidéotron (Régional) ltée. [2001-1277-2]

The Commission will amend its records to reflect the aforementioned transactions (Schedule A). The table in Schedule B shows the broadcast distribution undertakings that will be affected by the reorganization.

The corporate reorganization also includes the transfer of the assets of cable undertakings currently owned by RDL, Richelieu and Granby to Vidéotron (Régional) ltée, and the transfer of the assets of the cable undertakings of Télé-Câble Charlevoix (1977) ltée to Nouco fédérale, a company to be incorporated (as a first step) and then to Vidéotron (Régional) ltée (as a second step), thus requiring the granting of new licences for each of those companies. Those steps in the reorganization will have to be addressed in an upcoming public hearing.

All letters of approval issued by the Commission will be made available for public examination at the Commission's central office. The Commission also asks that you append this letter to your licences.
