Temporary management of Saugeen Telecable Limited by a receiver

1.

The Commission approves the application by Goodmans LLP, on behalf of PricewaterhouseCoopers Inc. (PWC), for authorization for PWC to temporarily manage Saugeen Telecable Limited (Saugeen). Saugeen is the licensee of three regulated1 Class 2 cable distribution undertakings serving Hanover, Listowel and Port Elgin, Ontario.

The Commission authorizes PWC, as receiver, to continue to operate these undertakings for a period of nine months following the date of this decision, under the same terms and conditions as those of the current licences. PWC will have the exclusive responsibility for the operation of the undertakings during that period.

If PWC decides to assign management of the undertakings to a third party, it must file a management agreement for the Commission's prior approval. However, PWC must continue to retain full responsibility for the undertakings for the duration of the agreement.

Furthermore, any transaction that would result directly or indirectly in a change of ownership of Saugeen will require an application for the Commission's prior approval.

1 Subsequent to the publication of Exemption order respecting cable systems having fewer than 2,000 subscribers, Public Notice CRTC 2001-121, 7 December 2001, Saugeen confirmed that 15 of its 18 cable distribution undertakings, i.e. those serving Alma, Ayton, Chesley, Drayton, Dundalk, Durham, Elmwood, Holstein, Lion's Head, Milverton, Neustadt, Paisley, Tara, Wiarton and Wingham, qualified for exemption from the requirement to hold a broadcasting licence. The Commission subsequently revoked the licences for the above-noted cable distribution undertakings in Revocation of the licences of exempted small cable distribution undertakings, Broadcasting Decision CRTC 2002-45, 19 February 2002.
