Transfer of assets - Corporate reorganization

1.

The Commission approves the application byJim Pattison Broadcast Group Ltd. (the general partner) and Jim Pattison Industries Ltd. (the limited partner) carrying on business as Jim Pattison Broadcast Group Limited Partnership,owned by James A. Pattison (the Pattison Group), for the authority to acquire the assets of all of the radio programming undertakings and their respective transmitters, the television programming undertakings and their respective transmitters located in Alberta and British Columbia, as well as a television network in Prince George, British Columbia, listed in the appendix to this decision. All of the affected undertakings are currently licensed to corporate entities owned by James A. Pattison. The applicant also requested broadcasting licences to operate the undertakings under the same terms and conditions as those in effect under the existing licences.

The Commission notes that this transaction is part of a corporate reorganization that will not affect the ultimate control of the broadcasting undertakings. The ultimate control will continue to be exercised by James A. Pattison, the sole shareholder of Jim Pattison Ltd.

As a result of this transaction, Jim Pattison Industries Ltd. (the limited partner) will have a 99.99% interest and Jim Pattison Broadcast Group Ltd. (the general partner) will have a 0.01% interest in a limited partnership which will carry on business as Jim Pattison Broadcast Group Limited Partnership. Jim Pattison Broadcast Group Ltd. is a wholly-owned subsidiary of Jim Pattison Industries Ltd., which in turn is a wholly-owned subsidiary of Jim Pattison Ltd.

The Commission did not receive any interventions in connection with this application.

The Commission will issue licences to Jim Pattison Broadcast Group Ltd. (the general partner) and Jim Pattison Industries Ltd. (the limited partner) carrying on business as Jim Pattison Broadcast Group Limited Partnership, once the current licences issued toJim Pattison Industries Ltd., CKPG Television Limited, Medicine Hat Broadcasting Ltd., Radio Station CKPG Limited and Columbia Kootenay Broadcasting Co. Ltd. have been surrendered to the Commission.

The new licences will expire on the same expiry dates as those set out in the appendix to this decision and will be subject to the same terms and conditions as those in effect under the current licences, with the exception of the licence for the new radio programming undertaking in Red Deer. That licence will be subject to the same terms and conditions specified in English-language FM radio station in Red Deer, Broadcasting Decision CRTC 2004-117, 15 March 2004 (Decision 2004-117) and in Use of frequency 106.7 MHz by the new English-language FM radio station in Red Deer, Broadcasting Decision CRTC 2004-473, 4 November 2004.

The Commission has not yet issued a broadcasting licence for the new radio programming undertaking at Red Deer because the requirements for the issuance of the licence have not yet been met. As stated in Decision 2004-117, pursuant to section 22(1) of the Broadcasting Act, no licence may be issued until the Department of Industry notifies the Commission that its technical requirements have been met, and that a broadcasting certificate will be issued. Furthermore, the licence will be issued once the applicant has informed the Commission in writing that it is prepared to commence operations.

Because this licensee is subject to the Employment Equity Act and files reports concerning employment equity with theDepartment of Human Resources and Skills Development, its employment equity practices are not examined by the Commission.
