Argent and Mystère - Acquisition of assets

1.

The Commission approves an application by TVA Group Inc. (TVA) to acquire, as part of a corporate reorganization, the assets of the French-language Category 1 specialty programming undertakings known as Argent (formerly LCN Affaires) and Mystère (formerly 13ième Rue) approved respectively in LCN Affaires - a new specialty service, Decision CRTC 2000-468, 14 December 2000 (Decision 2000-468), and in 13ième Rue - a new specialty service, Decision CRTC 2000-469, 14 December 2000 (Decision 2000-469). TVA also requested broadcasting licences to operate the undertakings under the same terms and conditions in effect under the current licences, upon surrender of the licences issued to LCN Argent inc. (LCN Argent), licensee of Argent, and 4246578 Canada Inc. (4246578), licensee of Mystère.

As a result of the corporate reorganization, LCN Argent and 4246578 will be wound up into their parent company, TVA.

The Commission notes that the transaction approved in the current decision does not alter the ultimate control of Argent and Mystère, which will continue to be exercised by Les Placements Péladeau inc.

The Commission did not receive any interventions in connection with this application.

The licences for Argent and Mystère will expire on 31 August 2007, the same expiry dates as those set out in Decisions 2000-468 and 2000-469. The licences will be issued to TVA Group Inc. upon surrender of the current licences issued to LCN Argent and 4246578, and will be subject to the same terms and conditions as specified in those decisions.

Because this licensee is subject to the Employment Equity Act and files reports concerning employment equity with theDepartment of Human Resources and Skills Development, its employment equity practices are not examined by the Commission.
