CFGT and CKYK-FM Alma - Acquisition of assets

  The Commission approves the application by Groupe Radio Antenne 6 inc. to acquire the assets of CFGT and CKYK-FM Alma from Radio CKYK FM inc.
 

The application

The Commission received an application from Groupe Radio Antenne 6 inc. (Antenne 6) to acquire the assets of the French-language commercial radio programming undertakings CFGT and CKYK-FM Alma as a result of a corporate reorganization involving the wind-up of Radio CKYK FM inc., the current licensee of the above undertakings.

Antenne 6 also requested broadcasting licences to continue the operation of the undertakings under the same terms and conditions as those in effect under the current licences.

Radio CKYK FM inc. and Antenne 6, its parent company, are controlled by Groupe Radio Nord inc., which itself is controlled by Jean-Yves Gourd. The proposed reorganization does not in any way change the ultimate control of CFGT and CKYK-FM Alma.
 

Intervention

The Commission received one intervention from the Association québécoise de l'industrie du disque, du spectacle et de la vidéo (ADISQ) asking the Commission to consider the reasons behind the transaction and emphasizing the importance of having the new licences expire on the same dates as the current licences.
 

Applicant's reply

The applicant responded that the purpose of the transaction is to facilitate licence management, that it is not requesting an extension of the terms of the CFGT and CKYK-FM licences, and that it expects the Commission to issue new licences with the same expiry dates shown on the current licences.
 

Commission's analysis and determination

The Commission notes ADISQ's concern that the new licences issued as part of the corporate reorganization have the same expiry date as the current licences.

In light of the above, the Commission approves the application by Groupe Radio Antenne 6 inc. to acquire the assets of the French-language commercial radio programming undertakings CFGT and CKYK-FM Alma.

The Commission will issue new licences to Groupe Radio Antenne 6 inc. upon surrender of the current licences.

The licence for CFGT will expire 31 August 2011, and the licence for CKYK-FM will expire 31 August 2009, the same expiry dates as the current licences. The licences will be subject to the same terms and conditions as those set out in CFGT Alma - Licence renewal, Broadcasting Decision CRTC 2004-388, 30 August 2004, in Erratum, Broadcasting Decision CRTC 2004-388-1, 3 November 2004, and in CKYK-FM and its transmitter CKYK-FM-1 Alma - Licence renewal, Broadcasting Decision CRTC 2005-114, 24 March 2005 (Decision 2005-114).

The Commission notes that the applicant has confirmed that transmitter CKYK-FM-1 referred to in Decision 2005-114 is no longer in operation. Consequently, that transmitter is not covered by this decision.
 

Employment equity

In accordance with Implementation of an employment equity policy, Public Notice CRTC 1992-59, 1 September 1992, the Commission encourages the licensee to consider employment equity issues in its hiring practices and in all other aspects of its management of human resources.
