The Score - Corporate reorganization involving a transfer of effective control and an acquisition of assets

The Commission approves the application by The Score Television Network Ltd. (STNL), on its behalf and on behalf of its wholly-owned subsidiary 2139846 Ontario Inc. (Subco), for the transfer of effective control of STNL to 2139843 Ontario Inc. (Newco) and the subsequent acquisition by Subco of the assets of the national English-language specialty programming undertaking known as The Score. The applicant also requested a new licence to be issued to Subco under the same terms and conditions as those in effect under the current licence.

The corporate reorganization involves the transfer of all the issued and outstanding shares of STNL from Score Media Inc. to Newco.

The Commission notes that following the above transactions, Subco and STNL intend to amalgamate and to continue under the name STNL. This step is not subject to prior approval by the Commission.

The Commission did not receive any interventions in connection with this application.

5.

Upon surrender of the current licence issued to STNL, the Commission will issue a new licence to 2139846 Ontario Inc. The licence will expire 31 August 2010, the current licence expiry date, and will be subject to the same terms and conditions as those in effect under the current licence.

The Commission requires that the applicant file the corporate documents relating to the amalgamation of Subco and STNL, once executed.
