Canadian Local Number Portability Consortium - Amended and Restated Unanimous Shareholders Agreement

1.

On 14 March 2008, the Canadian Local Number Portability Consortium filed in confidence, for Commission approval, a proposed change to the Amended and Restated Unanimous Shareholders' Agreement (the amended USA). The proposed change to the amended USA related to the treatment of bulk porting of telephone numbers.

The Commission notes that the change to the amended USA was prompted by the industry move to steady state processes for wireless number portability now that wireless number portability has been implemented.

The Commission also notes that the amended USA has been approved unanimously by all Shareholders of the Corporation, and is binding on the Shareholders and the Corporation.

4.

The Commission approves the proposed change to the amended USA.
