seeking authority to effect a change of effective control of
1708484, pursuant to subsection 10(4)(a) of the Specialty Services
Regulations, 1990. |

1708484 is the licensee of the
English-language specialty programming undertaking known as Canadian
Learning Television (CLT). |
| |
1708484 is wholly-owned by
Learning and Skills Television Alberta Limited (Learning and Skills),
which in turn is wholly-owned by CTV Inc. (CTV). |
| |
The transaction will be
effected through the transfer of all the issued and outstanding shares
currently held by Learning and Skills or by CTV1, in the capital of
1708484 Inc., to Corus. |
| |
As a result, effective control
of 1708484 would be exercised by Corus, a corporation controlled by JR
Shaw through its direct holdings and through a Voting Trust Agreement. |

The value of the transaction,
based on the terms of the purchase agreement, is $73,000,000 and the
applicant proposed a tangible benefits package totalling $7,300,000 to
be paid over a seven -year period: |

$6,325,000

·2 Learning based programming - $975,000
|
| |
