Pursuant to Public Notice CRTC 1989-15 dated 14 February 1989, the Commission approves the applications to modify the ownership of N1 Cable TV Ltd. (N1), W1 Cablesystems Inc. (W1) and A1 Cablesystems Inc. (A1), licensees of broadcasting receiving undertakings serving small communities in Newfoundland and New Brunswick and in Alberta and Saskatchewan respectively as listed in the appendix to this decision, through corporate restructures.
Currently, the ownership structure of each of these licensees consists of the respective regional partner (37%), namely Eastern Cable Limited in N1, Monarch Cable TV Ltd. in W1 and the Jenacom Group in A1, and Canadian Satellite Communications Inc. (CANCOM) (15%), who together own 52% by virtue of the shareholders agreement. The remaining 48% of each licensee is held by C1 Cablesystems Inc. (C1). As a result of these corporate restructures, N1, W1 and A1 will be negatively controlled with 50% held by C1 and 50% by the respective regional partner.
The parties have agreed on a mechanism to break any potential deadlock. The mechanism involves the referral of the matter in dispute to the senior partner of the office of Clarkson, Gordon and Co., Chartered Accountants, nearest to the registered or principal office of the respective regional company for a decision that is binding on the board of that company.
N1, W1 and A1 were formed by CANCOM to invest in regional cable television companies and to assist them in expansion development. The Commission notes that the proposed restructuring will place C1 in a better position to become a public company and thus to gain access to the large amounts of equity capital necessary to expand further the regional concept.
Further, the proposed transaction will remove CANCOM from direct involvement in the regional companies, including the resignation of its nominees from the board of directors of the respective regional companies. At the same time, however, CANCOM will maintain minority equity investment in the regional companies through its participation in C1.
