CJNB and CJCQ-FM North Battleford and CJNS Meadow Lake - Acquisition of assets

In this decision, the Commission approves applications by Rawlco Radio Ltd. to acquire a 51% interest in Northwestern Radio Partnership which operates three radio stations in North Battleford and Meadow Lake, through the acquisition of the voting interest held by 587680 Saskatchewan Ltd. in the partnership, and for broadcasting licences to continue the operation of the stations.

The Commission received applications by Rawlco Radio Ltd. (Rawlco), on behalf of Northwestern Radio Partnership (the partnership) for authority to acquire the 51% interest held by 587680 Saskatchewan Ltd., (587680) in the partnership. The partnership operates CJNB and CJCQ-FM North Battleford and CJNS Meadow Lake. The members of the partnership, 587680, Dekkerco Holdings Ltd. (Dekkerco) and 587681 Saskatchewan Ltd. (587681), currently hold respectively 51%, 31%, and 18% of the partnership's voting interests.

As part of the transaction, 587680 proposes to transfer to Rawlco 1/10 of a non-voting equity unit it holds in the partnership, while retaining its remaining 19 9/10 non-voting equity unit.

An amalgamation of 587680 with one of the other two partners, 587681, would occur following the transfer of 587680's voting unit to Rawlco. The amalgamated corporations would continue under the name 587681. This part of the transaction does not require Commission approval.

The effective control of the undertakings would not change as a result of this transaction. Since Rawlco and 587680 are both wholly-owned subsidiaries of Rawlco Enterprises Ltd., control of the partnership would remain with Mr. Gordon S. Rawlinson.

The Commission did not receive any interventions in connection with these applications.

The Commission's determination

Based on the evidence filed by the applicants, the Commission has no concern with these applications. Accordingly, the Commission approves the applications by Rawlco to acquire the 51% voting interest in the partnership currently held by 587680, and for broadcasting licences to continue the operation of CJNB and CJCQ-FM North Battleford and CJNS Meadow Lake in partnership with 587680, Dekkerco and 587681.

Issuance of the licences

The licences for CJNS and CJNB will expire 31 August 2007, and the licence for CJCQ-FM will expire 31 August 2005, the current expiry dates. The licences will each be subject to the conditions set out in New licence form for commercial radio stations, Public Notice CRTC 1999-137, 24 August 1999.

The Commission will only issue the licences once the current licences issued to 587680, Dekkerco, and 587681 have been surrendered to the Commission, and once the applicant has filed a duly signed and executed copy of the Partnership Amending Agreement.

The applicant must inform the Commission of the date on which this transaction has been completed as approved. The applicant must also file a copy of the Certificate and Articles of Amalgamation pertaining to the amalgamation of 587680 and 587681, as soon as these documents are available.

10.

Because this licensee is subject to the Employment Equity Act and files reports with Human Resources Development Canada, its employment equity practices are not examined by the Commission.
