Pursuant to Public Notice CRTC 1990-78 dated 13 August 1990, the Commission approves the application for authority to transfer effective control of Ottawa Valley Radio Ltd. (OVR), licensee of CKOB Renfrew and CKOA Arnprior, through the transfer of all outstanding and issued shares from Neil McMullen through his company Annapolis Valley Radio Ltd. to Pelmorex Broadcasting Inc. (Pelmorex).
Pelmorex, which is ultimately controlled by Pierre Morissette, is licensee of 15 radio stations in northern and northeastern Ontario. As a result of this transaction, Pelmorex will effectively control OVR.
The purchase price for the shares is $450,000. Based on the evidence filed with the application, the Commission has no concerns with respect to the availability or the adequacy of the required financing and is satisfied with the benefits package flowing from this transaction. Moreover, the Commission has taken into consideration the precarious financial situation of CKOB and CKOA and the fact that this transaction will provide the stations with the resources necessary to ensure continuation of local radio service. Accordingly, the Commission considers that approval of this application is in the public interest.
The Commission also approves the request to reduce locally-produced programming on CKOB from 126 hours per week to 21 hours 15 minutes weekly as well as to increase the locally-produced programming on CKOA to 21 hours 15 minutes per week. These changes in the Promises of Performance, which were proposed by the licensee in its application to transfer effective control, will result in CKOB and CKOA becoming part-time rebroadcasting stations of CHRO Pembroke, Ontario.
The Commission acknowledges the seven interventions which it received in support of the transfer of control of OVR to Pelmorex.
