Dear Sir:

Subject: Application number 200103854 - Approved
Transfer of control of 3553230 Canada inc., licensee of CJMS Saint-Constant (QC) to Communications Médialex inc.

This is to inform you that the Commission has approved the above-mentioned application for authority to transfer effective control of 3553230 Canada inc., licensee of CJMS AM Saint-Constant. The transfer of control will be effected by the sale of the 60 voting shares held by Michel Mathieu (representing 60% of the licensee's assets) to Communications Médialex inc., a corporation wholly owned, indirectly, by Alexandre Azoulay, a Canadian citizen.

The Commission notes that, following this transaction, control of 3553230 Canada inc. will be exercised by the two shareholders of the licensee: Communications Médialex inc. and André Turcôt, under a shareholder agreement. The Commission will amend its records to reflect the change indicated in the attachment.

All approval letters issued by the Commission are available for public examination at the Commission's head office and web site - www.crtc.gc.ca - in the official language in which the application was filed. The Commission requires you to append this letter to all licences affected by this decision.
