Acquisition of assets |

1. |
The Commission approves the application for authority to acquire the assets of the cable distribution undertaking serving the above-noted localities, from PricewaterhouseCoopers Inc., trustee of Naparvision inc., in bankruptcy, and for a broadcasting licence to continue the operation of this undertaking. |

2. |
The Commission will issue a Class 3 licence to Câble-Axion Québec inc., expiring 31 August 2006 (the current expiry date), upon surrender of the current licence. The operation of this undertaking will be regulated pursuant to the Broadcasting distribution regulations. The licence will be subject to the condition specified in this decision and to any other condition that may be specified in the licence to be issued. |

The purchase price relating to this transaction is $60,000. Based on the evidence filed with the application, the Commission has no concerns with respect to the availability or the adequacy of the required financing. |

4. |
The signals that the licensee is authorized to distribute may be received by direct reception, or from any Canadian broadcasting distribution undertaking (licensed or exempted) which is authorized to provide signals to other distributors. |

5. |
It is a condition of licence that, for community programming and any other programming of a service that it originates, the licensee adhere to the guidelines on the depiction of violence in television programming set out in the Canadian Association of Broadcasters' Voluntary code regarding violence in television programming, as amended from time to time and approved by the Commission. |

6. |
The Commission encourages the licensee to consider employment equity issues in its hiring practices and in all other aspects of its management of human resources (PN 1992-59). |
