Decision CRTC 2001-565

Ottawa, 4 September 2001

Mr Andrew Macdonald
Director, Business Development
Woodbine Entertainment Group
555 Rexdale Boulevard P.O.Box 156
Toronto, Ontario
M9W 5L2

Dear Sir:

Re: Application No. 200108713 - Approved
Change of ownership -
A change modifying the proposed structure of "The Racing Network Canada", a new category 2 specialty television service from a partnership to a sole owner entity

The Commission approves the above-noted application for authority to modify the ownership structure of "The Racing Network Canada" whereby Woodbine Entertainment Group will become the licensee of "The Racing Network Canada", a new category 2 digital specialty television service.

The Commission notes that in its Decision 2000-713 (dated November 24, 2000), it has awarded a category 2 digital specialty service to be known as "The Racing Network Canada" to The Ontario Jockey Club (Partnership), whose shareholders are The Ontario Jockey Club (currently Woodbine Entertainment Group) with 90% voting rights and 3738175 Canada Inc. (a subsidiary of BCE Media Inc.) with 10% voting rights. The effect of the current change is that a licence for a new category 2 digital specialty television service will now be issued to Woodbine Entertainment Group. The Commission notes that Woodbine Entertainment Group is a not for profit corporation owned by a large number of members.

The Commission will modify its ownership records to reflect the authorized change in ownership.

All letters of approval issued by the Commission are made available for public examination at the Commission's central office. The Commission also requires you to append this letter to your licence.

Yours sincerely,

Ursula Menke
Secretary General
