Intracorporate reorganization of Harvard Broadcasting Inc.

1.

The Commission received an application by Harvard Broadcasting Inc. (Harvard) to effect an intracorporate reorganization.

2.

Harvard is the licensee of the radio programming undertakings CKRM, CFWF-FM and CHMX-FM Regina, Saskatchewan, and the radio network Roughriders.

3.

The proposed transaction would be implemented through the insertion of a new holding company, The Gabriel Holding Corp. (Gabriel Holding), into the existing corporate structure, between Famhill Holdings Limited (Famhill Holdings) and Famhill Investments Limited (Famhill Investments). As a result of this transaction, Famhill Holdings will own 100% of the Class E voting shares and the Class D non-voting shares, and the Paul Hill Family Trust will own 100% of the Class B non-voting participating shares in Gabriel Holding.

4.

This transaction does not change the control of Harvard, which remains with Frederick W. Hill, through the holding companies Harvard Developments Inc., Famhill Holdings and Famhill Investments.

5.

The Commission approves the application to effect an intracorporate reorganization of Harvard.

6.

The Commission will modify its ownership records accordingly.
