CHAB, CILG-FM and CJAW-FM Moose Jaw – Acquisition of assets (corporate reorganization)

1.

The Commission approves the application by 101142236 Saskatchewan Ltd. (101142236 Saskatchewan) for authority to acquire, as part of a corporate reorganization, the assets of the English-language radio programming undertakings CHAB, CILG-FM and CJAW-FM Moose Jaw from Golden West Broadcasting Ltd. (Golden West), and for new broadcasting licences to continue the operation of these undertakings under the same terms and conditions as those in effect under the current licences. The Commission did not receive any interventions in connection with this application.

2.

The Commission notes that the transaction approved in this decision was effected on 1 September 2009 through the transfer, from Golden West to 101142236 Saskatchewan, of all assets and liabilities relating to CHAB, CILG-FM and CJAW-FM. As a result of the transaction, 101142236 Saskatchewan will become the licensee of these undertakings.

3.

The corporate reorganization was for estate planning and did not affect the effective control of these undertakings, which continued to be exercised by Golden West through its wholly owned subsidiary 101142236 Saskatchewan. Golden West is indirectly controlled by Mr. Elmer Hildebrand.

4.

The Commission notes that the above-mentioned transaction was subject to a prior approval requirement pursuant to subsection 11(4) of the Radio Regulations, 1986 (the Regulations). The Commission reminds 101142236 Saskatchewan that full compliance with the Regulations is required at all times.

5.

Upon surrender of the broadcasting licences currently issued to Golden West, the Commission will issue new licences to 101142236 Saskatchewan. The new licences will expire on the same expiry dates as those of the current licences (CHAB: 31 May 2010; CILG-FM: 31 August 2013; CJAW-FM: 31 August 2012), and will be subject to the same terms and conditions as those in effect under the current licences.
