The Score – Acquisition of assets (Corporate reorganization)

The Commission approves the application by 2165743 Ontario Inc. (2165743) for authority to acquire from The Score Television Network Ltd. (STNL) the assets of the national, English-language specialty television programming undertaking known as The Score and for a new broadcasting licence to continue the operation of the undertaking under the same terms and conditions as those in effect under the current licence. The Commission did not receive any interventions in connection with this application.

2165743 is a wholly-owned subsidiary of STNL and the officers and directors of both corporations are the same. 2165743 indicated that the acquisition of assets was undertaken solely for the corporate restructuring purposes of certain tax planning and reorganization activities of STNL and its affiliates.

Following completion of the transaction, 2165743 will amalgamate with STNL and continue under the corporate name The Score Television Network Ltd. The above transaction will not affect the effective control of The Score, which will continue to be exercised by John Levy.

Upon surrender of the current licence issued to The Score Television Network Ltd., the Commission will issue a new licence to 2165743 Ontario Inc. The licence will expire 31 August 2010, the current licence expiry date, and will be subject to the same terms and conditions as those in effect under the current licence.

The Commission requests that 2165743 file executed copies of the certificate and articles of amalgamation made between 2165743 and STNL within 60 days of the date of this decision.
